The Developer/Promoter warrants providing Pro Realtors/Realtalyst Online Services LLP [“LLP”] all real estate project information/development information [hereinafter referred to as “Project Uploads”] pertaining to the real estate projects listed/posted on Pro Realtors website/mobile/digital application. Project uploads shall be deemed to mean and include all information uploaded by the Developer/Promoter on the concerned Real Estate Real Estate Regulatory Authority’s [“RERA”] website/portal with reference to a particular real estate project including subsequent additions/deletions/amendments. The Developer/Promoter further agrees to provide the Project Uploads to THE LLP simultaneous with the upload on RERA. Should there be a discrepancy in the Project Uploads provided by the Developer/Promoter to the LLP and LLP is subject to notices/suits/proceedings/complaints/applications/actions/reference/appeal/review in a court of law/authority/tribunal/committee/arbitration, then in such event, the Developer/Promoter agrees to forthwith indemnify/reimburse the LLP, without any delay, objection or demur legal fees, court fees, penalties, damages [including exemplary damages] and all other expenses/charges/fees, claims by whatever name referred to incurred by the LLP in defending such notices/suits/proceedings/complaints/applications/actions/reference/appeal/review. This Agreement is subject to the jurisdiction of courts in Mumbai only.
The information/project uploads provided on the website/mobile, digital application is only indicative and is as is provided the concerned Developer/Promoter/Sourced from MahaRera’s site: https://maharerait.mahaonline.gov.in/ Project locations have been picked up either from Location as on MahaRera’s site/ Longitude, Latitude given against the project and have been put under zones only for convenience of the user. The LLP does not certify or warrant the genuineness or correctness of the information. Realtors/Users are advised to conduct their own due diligence on the concerned real estate project/development and base their investment/purchase/sale decisions/recommendations to clients on the strength of the same. The LLP shall not be liable to the Realtor/User financially or otherwise should the information/project uploads on the LLP’s website/mobile or digital application differ with the information/project uploads on RERA’s website/portal. Based of the information provided on the LLP’s website, mobile or digital application, should the Realtor be subject to any notices/suits/proceedings/complaints/applications/actions/reference/appeal/review in a court of law/authority/tribunal/committee/arbitration and in the course of such proceedings the Realtor is ordered/decreed to pay legal fees, court fees, penalties, damages [including exemplary damages] other expenses/charges/fees, claims by whatever name referred to, then, in such event, the Realtor shall not seek counter claim/reimbursement or indemnity from the LLP. Further the Realtor expressly declares that it shall not, submit in such proceedings, that the LLP be made a party thereto. The Realtor/User expressly releases, discharges and waives the LLP from any legal fees, court fees, penalties, damages [including exemplary damages], expenses, charges, fees or claims. This Agreement is subject to the jurisdiction of courts in Mumbai only.

All disputes involving but not limited to rights conferred, compensation, refunds, and other claims will be resolved through a two step Alternate Dispute Resolution mechanism. 10.1 Stage 1: Mediation. In case of a dispute, the matter will first be attempted to be resolved by a sole mediator who is a neutral third party and will be selected at the mutual acceptance of a proposed mediator by both parties. Both parties may raise a name for sole mediator and in the case both parties accept the proposed name, the said person shall be appointed sole mediator. In the case the parties are not able to reach a consensus within two proposed mediators, the Company reserves the right to decide who the final mediator is. The decision of the mediator is not binding on both parties. 10.2 Stage 2: Arbitration. In the case that mediation does not yield a result suitable or preferred by any one of the parties, arbitration may follow, the award of which is binding on both parties. The Arbitration Board is to comprise three members. One is to be appointed by each party and the third member is to be nominated by the two appointed members by mutual consent between them. The award as the outcome of the arbitration is final and binding on both parties and there shall be no further remedy available to both parties. The arbitration proceedings will take place in the English Language and will be conducted in Mumbai. The mode of appointment of the arbitrators is as provided above. If the dispute cannot be resolved by this two-step Alternate Dispute Resolution mechanism, it shall be referred to the courts in Mumbai.
